1. Definitions
In these Terms and Conditions, the following definitions apply:
"Service" refers to the legal advisory, conveyancing, and dispute resolution services provided by clarimundi.
"User" or "You" refers to any person accessing this website or engaging our services.
"We", "Us", or "Our" refers to clarimundi, a legal practice located at 36 Jalan Ampang, 50450 Kuala Lumpur, Malaysia.
"Agreement" refers to these Terms and Conditions together with any engagement letter issued by us.
"Content" refers to all text, images, and materials published on this website.
2. Acceptance of Terms
By accessing this website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services.
3. Description of Services
clarimundi provides legal services in the areas of corporate and commercial advisory, property and conveyancing, and dispute resolution and mediation. Services are delivered from our office in Kuala Lumpur and are governed by Malaysian law.
The specific scope, terms, and fees for any engagement will be set out in a written engagement letter provided before the commencement of work. These Terms and Conditions apply in addition to, and do not replace, the terms of any engagement letter.
4. User Responsibilities
When using our website or engaging our services, you agree to provide accurate and complete information as requested, to use the website only for lawful purposes, not to reproduce, distribute, or modify any content on this website without our prior written consent, and to cooperate fully with our legal team in connection with any matter we are handling on your behalf.
You are responsible for ensuring that any information you provide to us is current and correct. Delays or complications arising from inaccurate information provided by you are not the responsibility of clarimundi.
5. Intellectual Property
All content on this website, including text, graphics, logos, and design elements, is the property of clarimundi and is protected under Malaysian intellectual property laws. You are granted a limited, non-exclusive licence to access and view the content for personal, non-commercial use only.
No part of this website may be reproduced, distributed, or transmitted in any form without our prior written permission.
6. Payment Terms
Fees for our services are set out in the engagement letter provided to each client. Payment terms, including the amount, method, and schedule, will be specified therein. All fees are quoted in Malaysian Ringgit (RM).
For conveyancing matters, legal fees are calculated in accordance with the Solicitors' Remuneration Order as applicable. For advisory and dispute matters, fees are based on the scope of work agreed.
If the scope of a matter changes materially during the course of an engagement, we will discuss revised fee arrangements with you before proceeding.
7. Service-Specific Terms
Corporate Advisory: The delivery of corporate advisory services is subject to the provision of accurate and complete corporate documents, financial records, and other information as reasonably requested. Timelines depend on the complexity of the transaction and the responsiveness of relevant third parties such as regulators and counterparties.
Property & Conveyancing: Conveyancing timelines are subject to the processing times of the Land Office, financial institutions, and other parties involved in the transaction. We will use reasonable efforts to expedite proceedings but cannot be held responsible for delays caused by third parties.
Dispute Resolution: The outcome of any dispute matter is inherently uncertain. We provide candid assessments of the strengths and risks of each case but cannot and do not provide assurances regarding the outcome of any proceedings, negotiations, or mediations.

9. Limitation of Liability

10. Indemnification
You agree to indemnify and hold clarimundi harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your breach of these Terms, your use of the website in a manner not authorised by these Terms, or any information you provide to us that is materially inaccurate or misleading.
11. Termination
Either party may terminate an engagement in accordance with the terms set out in the engagement letter. clarimundi reserves the right to terminate an engagement if there is a conflict of interest, non-payment of fees, a breakdown in the solicitor-client relationship, or any other circumstance that, in our professional judgement, makes continued representation inappropriate.
Upon termination, you remain liable for fees and disbursements incurred up to the date of termination.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising out of or in connection with these Terms shall be subject to the jurisdiction of the courts of Malaysia.
Before commencing formal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation. If the matter cannot be resolved informally within 30 days, either party may initiate legal proceedings.
13. General Provisions
Entire Agreement: These Terms, together with any applicable engagement letter, constitute the entire agreement between you and clarimundi.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. The updated version will be posted on this page with a revised effective date. Your continued use of the website or our services after any changes constitutes acceptance of the revised Terms.
